Counsel, IP Transactions works under the direction of the Managing Director, IP Transactions and Standards, and provides legal support for worldwide IP licensing initiatives, including royalty-bearing and strategic licenses. This person will provide legal support for projects related to the purchase or sale of patents. He/she will provide support with respect to existing IP-related agreements as well as those that the Company pursues from time to time. He/she will be a part of a multi-functional team led by the Director, IP Transactions that also includes technical experts and business, financial, marketing and management professionals. Alignment with the IP Litigation and Analysis group, the Office of Chief IP Counsel, the General Counsel, SPG and Corporate management will be key to success.

Responsibilities:

  • Provide legal advice and support with respect to matters handled by the IP Transactions and Standards organization
  • Provide legal advice to SPG and Company management with respect to IP transactional matters
  • Participate in the prioritization of target licensees
  • Participate as a member of the team negotiating with target companies
  • Negotiate and draft definitive agreements

    Skills:

  • Excellent oral and written communications skills
  • Extensive experience in negotiating complex transactions
  • Proficiency in negotiating and documenting complex license or similar agreements
  • Understanding of laws relating to patent licensing
  • Preferable prior experience in developing and managing project budgets
  • Ability to effectively and efficiently engage and manage outside counsel
  • Ability to interact with senior management, SPG management, technical community, legal community
  • Ability to work independently and to multitask among numerous projects
  • Willingness to travel, as necessary

    Educational Requirements:

  • Juris Doctor degree, bar membership in one state, with minimum 5 years of relevant experience
